✅ 1. Acceptance of Terms

By accessing our website at sociialmantraa.shop, engaging our services, submitting a contact form, or otherwise interacting with Sociial Mantraa ("Company", "we", "our", "us"), you agree to be bound by these Terms and Conditions, our Privacy Policy, and any additional guidelines or rules that may be posted from time to time.

These Terms constitute a legally binding agreement between you ("Client", "User", "you") and Sociial Mantraa, registered in India, with offices at Shop No 7, City Trade Center, Lajpat Nagar Main Market, New Delhi, Delhi 110024, India.

🛠️ 2. Description of Services

Sociial Mantraa is a full-service digital marketing agency offering a range of services including, but not limited to:

• Social Media Management and Strategy (Instagram, Facebook, LinkedIn, Twitter, YouTube)
• Performance Marketing — Google Ads, Meta Ads, LinkedIn Ads, Programmatic Advertising
• Search Engine Optimization (SEO) and Search Engine Marketing (SEM)
• Content Creation — Copywriting, Graphic Design, Photography, Videography
• Brand Identity Design — Logo, Brand Guidelines, Visual Identity Systems
• Email Marketing, SMS Marketing, and Marketing Automation
• Influencer Marketing and PR Campaigns
• Website Design and Development
• Digital Strategy Consulting and Brand Audits

The specific services rendered to a client shall be defined in a separate Service Agreement or Proposal, which forms part of these Terms. Any changes to the scope of services must be agreed upon in writing by both parties.

👤 3. Eligibility

Our Services are intended for businesses and individuals who are at least 18 years of age. By engaging our Services, you represent and warrant that:

• You are at least 18 years old or are accessing Services on behalf of a duly authorized business entity.
• You have the legal authority to enter into this agreement on behalf of yourself or your organization.
• You are not a person barred from receiving Services under applicable laws of India or any other jurisdiction.
• All information you provide to us is accurate, truthful, and complete.
• Your use of our Services does not violate any applicable laws or regulations.

📋 4. Client Obligations

As a client of Sociial Mantraa, you agree to the following obligations to enable effective delivery of services:

4.1 Information & Access

• Provide accurate, complete, and timely information necessary for the execution of services.
• Grant appropriate access to required platforms (social media accounts, ad accounts, analytics tools, website backends) in a timely manner.
• Respond to our requests for approvals, content feedback, and clarifications within agreed timelines. Delays caused by client inaction may affect delivery timelines.

4.2 Content & Legal Compliance

• Ensure that all content, images, logos, and materials provided to us are lawfully owned or licensed by you.
• Not request or expect us to create content that is false, misleading, defamatory, obscene, or in violation of applicable laws, advertising standards, or platform policies.
• Comply with all applicable laws, platform terms of service, and industry regulations in your business operations and marketing activities.

4.3 Confidentiality

You agree to keep confidential all proprietary methodologies, strategies, pricing, tools, and techniques shared by Sociial Mantraa during the course of engagement.

💳 5. Payment Terms

5.1 Fees and Invoicing

All fees for services are as specified in the agreed Service Proposal or Agreement. Fees are quoted in Indian Rupees (INR) unless otherwise stated. Invoices are typically issued on a monthly, quarterly, or project basis as agreed with the client.

5.2 Payment Schedule

• Retainer Services: Payment is due within 7 days of invoice date, in advance of the service month.
• Project-Based Work: Typically structured as 50% advance on project commencement and 50% on project completion or delivery.
• Ad Spend Budgets: Ad budgets are collected separately and in advance. These funds are used exclusively for the client's advertising campaigns on platforms like Google and Meta.

5.3 Late Payments

Payments not received by the due date may attract a late payment charge of 2% per month on the outstanding amount. Sociial Mantraa reserves the right to suspend services if payment is overdue by more than 15 days.

5.4 Refund Policy

All fees for services rendered are non-refundable. Ad spend budgets transferred to advertising platforms (Google, Meta, etc.) are subject to those platforms' respective refund policies and are not refundable by Sociial Mantraa. If a project is cancelled by the client after commencement, fees for work already completed shall be retained by Sociial Mantraa.

5.5 Taxes

All fees are exclusive of applicable taxes. GST (Goods and Services Tax) and other applicable taxes will be charged in addition to the agreed fees, as per Indian taxation law.

©️ 6. Intellectual Property

6.1 Client's Existing IP

All intellectual property, including logos, trademarks, brand assets, and content provided by the client, remain the sole property of the client. The client grants Sociial Mantraa a limited, non-exclusive license to use such materials solely for the purpose of delivering the agreed services.

6.2 Work Product Ownership

Upon full payment of all outstanding fees, Sociial Mantraa assigns ownership of all deliverables specifically created for the client (such as custom graphics, ad creatives, website pages) to the client. This excludes any third-party licensed assets, stock images, fonts, plugins, or pre-existing Sociial Mantraa templates and tools used in the delivery.

6.3 Sociial Mantraa's IP

All strategies, methodologies, processes, tools, software, frameworks, and pre-existing creative assets used or developed by Sociial Mantraa remain the exclusive intellectual property of Sociial Mantraa. Clients have no right to use, reproduce, or distribute such proprietary materials.

6.4 Portfolio Rights

Unless explicitly stated otherwise in writing, Sociial Mantraa reserves the right to showcase client campaign results, creative work, and project summaries in our portfolio, case studies, and marketing materials, subject to maintaining client confidentiality where required.

🔐 7. Confidentiality

Both parties agree to keep confidential all non-public, sensitive information received from the other party in connection with the services ("Confidential Information"), including but not limited to business strategies, financial information, campaign data, client lists, and proprietary technologies.

This confidentiality obligation shall survive the termination of the service agreement for a period of 3 years. Neither party shall disclose Confidential Information to any third party without the prior written consent of the other, except as required by applicable law or with the express written consent of the disclosing party.

🔔 8. Notification and Communication Consent

By accepting these Terms and Conditions, you acknowledge and consent to receive notifications and promotional communications from Sociial Mantraa through various channels, including but not limited to email, mobile push notifications, SMS, RCS (Rich Communication Services), WhatsApp, OBD (Outbound Dialing), or any other digital communication platforms.

8.1 Purpose of Communications

Communications may include service updates, campaign performance reports, promotional offers, new service announcements, industry news, event invitations, and other marketing content relevant to your business interests and our services.

8.2 Consent for Marketing Communications

By submitting our contact form or engaging our services, you explicitly consent to receive marketing communications from Sociial Mantraa via SMS, email, OBD, Google RCS, and WhatsApp for information about our services, offers, and updates. You further confirm agreement to our Terms and Conditions and Privacy Policy.

8.3 Opting Out

If you prefer not to receive such updates or marketing communications, you may opt out by contacting us at info@sociialmantraa.shop. You may also click the "Unsubscribe" link in any promotional email or reply STOP to any SMS. Opting out does not affect your receipt of essential service and transactional communications.

⚠️ 9. Disclaimer of Warranties & Limitation of Liability

9.1 No Guarantee of Results

While Sociial Mantraa employs best practices and strives to deliver optimal results, we do not guarantee specific outcomes such as particular rankings, follower counts, lead volumes, or revenue figures. Digital marketing performance depends on numerous factors beyond our control including market conditions, competitor actions, platform algorithm changes, and economic factors.

9.2 Third-Party Platforms

Our services often involve third-party platforms (Google, Meta, Instagram, LinkedIn, etc.). Sociial Mantraa is not responsible for changes in these platforms' policies, algorithm updates, account suspensions, or any other actions taken by these third parties that may affect campaign performance.

9.3 Limitation of Liability

To the maximum extent permitted by applicable law, Sociial Mantraa's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client in the three months preceding the claim. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, or loss of data.

9.4 Indemnification

You agree to indemnify and hold harmless Sociial Mantraa, its directors, employees, and agents from any claims, losses, damages, and liabilities arising out of your breach of these Terms, your violation of any third-party rights, or any content you provide to us for use in your campaigns.

🚪 10. Termination

10.1 Termination by Client

Clients may terminate services by providing a 30-day written notice to Sociial Mantraa. All outstanding fees for services rendered up to the effective termination date shall remain payable. No refunds will be provided for the notice period.

10.2 Termination by Sociial Mantraa

Sociial Mantraa reserves the right to terminate or suspend services immediately, without prior notice, in the following circumstances:

• Non-payment of outstanding invoices beyond 15 days of the due date
• Client requesting activities that violate applicable laws, platform terms, or ethical standards
• Client providing false or misleading information
• Client engaging in abusive behavior towards our team members
• Any other material breach of these Terms and Conditions

10.3 Effect of Termination

Upon termination, Sociial Mantraa will provide the client with all completed deliverables owned by the client (subject to payment of outstanding fees) and will remove our access to the client's platforms within 7 business days.

⚖️ 11. Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.

11.1 Dispute Resolution Process

In the event of any dispute, the parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice of the dispute. If negotiation fails, the parties shall attempt mediation before resorting to litigation. The mediator shall be mutually agreed upon by both parties.

11.2 Amendments

Sociial Mantraa reserves the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Continued use of our services after such notification constitutes acceptance of the revised Terms.
